These Terms and Conditions ("Terms") govern the relationship between Mayak International Limited, a company incorporated in Hong Kong SAR with its registered office at Flat A, 15/F, Manly Commercial Building, 15 Soy Street, Mong Kok, Kowloon, Hong Kong ("Mayak", "we", "us", "our") and the client purchasing goods or services from us ("Client", "you").

1. Scope

Mayak provides sourcing, quality control, and logistics services for office furniture and related products manufactured in China, intended for business clients ("B2B"). These Terms apply to all quotations, orders, contracts, and deliveries entered into by Mayak unless explicitly varied in writing by both parties.

2. Quotations and orders

All quotations issued by Mayak are valid for thirty (30) days from the date of issue, unless otherwise stated. A binding contract is formed when the Client confirms the order in writing (email confirmation accepted) and a deposit, where applicable, has been received.

4. Delivery and risk transfer

Delivery terms follow Incoterms 2020 as specified in the order confirmation (typically FOB, CIF, or DAP). Risk passes to the Client at the point defined by the agreed Incoterm. Delivery dates are estimates given in good faith and Mayak is not liable for delays caused by manufacturers, carriers, customs authorities, or events of force majeure.

5. Quality and inspection

Mayak performs pre-shipment inspection on all orders. The Client must inspect goods upon receipt and notify Mayak in writing of any visible defects or shortages within seven (7) days of delivery. Hidden defects must be notified within thirty (30) days of receipt. After these periods, the goods are deemed accepted.

6. Returns and refunds

Given the custom-sourced and B2B nature of our products, returns are not accepted except in case of manufacturing defect or non-conformity to the agreed specifications. In such cases, Mayak will, at its discretion, repair, replace, or refund the affected items. Items modified, installed, or used cannot be returned.

7. Limitation of liability

To the maximum extent permitted by law, Mayak's total liability under any order shall not exceed the total amount paid by the Client for the order in question. Mayak shall not be liable for indirect, consequential, or incidental damages, including loss of profit, business interruption, or loss of data.

8. Force majeure

Neither party is liable for any failure or delay in performance caused by events beyond reasonable control, including but not limited to natural disasters, war, pandemic, labor disputes, government action, transport disruption, or factory closures.

9. Intellectual property

All trademarks, logos, designs, and content on this website are the property of Mayak International Limited or its licensors. No content may be reproduced or used without prior written consent.

10. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in the context of an order or potential order.

11. Governing law and jurisdiction

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the Hong Kong courts, or, at Mayak's option, to arbitration in Hong Kong under the rules of the Hong Kong International Arbitration Centre (HKIAC).
